Terms of Service

These Terms of Service ("Terms") are a contract between you and Postango LLC("Postango," "we," "us") governing your use of our website and services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.
PLEASE READ: THIS AGREEMENT CONTAINS A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER. They affect how disputes between us are resolved — most disputes go to individual arbitration rather than to a judge or jury, and you give up the right to participate in a class action. You may opt out of arbitration within 30 days of first accepting these Terms. See Dispute resolution.
The Service
Postango turns the clips and photos you upload into edited, captioned social videos and can schedule and publish them to the social accounts you connect. New accounts start in a sandbox mode where content is produced but not published to live accounts; publishing to real accounts requires an active paid plan.
Your account
- You must be at least 18 and able to form a binding contract.
- You're responsible for your account, your login credentials, and everything done under your account.
- Provide accurate information and keep it current.
Your content and rights
You keep ownership of the clips, photos, audio, and other materials you upload ("Your Content"). You grant us a limited license to host, process, edit, adapt, and — at your direction — publish Your Content solely to provide the Service.
You represent and warrant that:
- You own or have all rights and permissions needed for Your Content, including any music, footage, logos, people, or trademarks in it.
- Any music you add is one you own or are licensed to use commercially — the rights confirmation you check when uploading music applies here.
- You have the authority to connect each social account you link and to publish to it.
- Your Content and its publication don't violate any law or third-party rights.
How we use Your Content — and what we will never do with it
The license above is limited to running the Service for you. To be explicit about the limits, we commit that:
- We do not use Your Content to train AI models, ours or anyone else's.
- We contract with our AI providers on terms that do not permit them to train on Your Content either, and we will not move Your Content to a provider or service tier that permits it. The providers we currently use are named in our Privacy Policy.
- We do not sell Your Content or share it for advertising, and we do not use it to build datasets, benchmarks, or promotional material without asking you first.
- We do not browse Your Content. No one at Postango reviews your uploads as a matter of course. The narrow exceptions are: with your permission, when you ask us to look at a specific problem; where we must to investigate a credible report of unlawful content or a security incident; or where the law requires it.
These commitments survive any change to our AI providers. If we ever needed to change them, we would tell you before it applied to Your Content, and you could delete your account first.
Acceptable use
You agree not to use the Service to create or publish content that is unlawful, infringing, deceptive, harassing, hateful, or that violates anyone's rights, and not to post to accounts you don't control. You won't misuse, disrupt, reverse-engineer, or attempt to gain unauthorized access to the Service.
Social platforms
The Service publishes through third-party platforms and a posting aggregator. Your use of each platform is also governed by that platform's own terms, and platforms may change their rules, rate limits, or availability, or may remove content or accounts. We aren't responsible for platform decisions, outages, or changes, and can't guarantee that any given post will be delivered or remain live.
Shared posting capacity.Publishing to a platform happens through an application that our posting aggregator registers with that platform. Platforms set limits on those applications — for example a maximum number of uploads per day, or a maximum number of accounts that may post in a period — and those limits are counted against the application, shared across everyone who publishes through it, and can be reached by activity that has nothing to do with you or your accounts. When that happens, posting to that platform pauses for a time even though nothing is wrong with your video, your account, or your plan. Raising those limits is the aggregator's or the platform's decision, not ours, and we can't commit to when it happens.
- Your videos are held, not discarded. When a platform or the aggregator is out of capacity, we hold the scheduled post and keep retrying for a bounded period rather than failing it immediately. If it can be sent once capacity returns, we send it, spaced out so the catch-up isn't mistaken for spam. If the interruption outlasts that period, the post is marked failed and shown to you.
- Timing isn't guaranteed. The schedule you set is when we try to post, not a promise of when a platform will accept or display it. Posts may go out late, or not at all, for reasons outside our control.
- We may pause a platform.If a platform can't be published to reliably, we may temporarily stop offering it and mark it as unavailable in the app rather than continue booking posts that we expect to fail. Your saved platform choices are kept and resume automatically when it comes back.
- Your plan buys finished videos, not guaranteed placements. Plan allowances count the videos we produce for you. A video that we edited and delivered to your library counts even if a platform later declines or delays the post; a video we failed to produce does not count, and neither do our own retries. Finished videos remain available for you to download and post yourself.
- No plan promises a specific platform. Platform availability can change, and no plan, price, or description should be read as a commitment that a particular network will be available for any period of time.
None of this reduces any right you have to cancel. If a platform that matters to you is unavailable and you don't want to keep paying while it is, you can cancel at any time from Settings → Billing, effective at the end of your current billing period.
AI-generated output
Captions, edits, and voiceovers are generated by AI and may contain errors. You can review and approve content before it publishes, and you're responsible for what you choose to publish. AI output is provided "as is."
Plans, billing, and cancellation
- Paid plans are billed on a recurring basis through our payment processor (Stripe) until cancelled.
- By subscribing, you authorize us to charge your payment method for each billing period.
- You can cancel anytime from Settings → Billing; cancellation takes effect at the end of the current billing period, and your account returns to sandbox.
- Except where required by law, or where these Terms say otherwise — see Termination — payments are non-refundable.
- We may change prices. A change takes effect at the start of your next billing period, and we will email you at least 30days before it does. The period you are already in is charged at the price it started at. If you don't want the new price, cancel before it takes effect. Taxes may apply and are shown at checkout.
Usage limits and fair use
Each plan includes a set video allowance and is subject to usage limits — such as per-clip size and length caps, re-run limits, and media retention windows — published on our Fair Use & Plan Limits page, which is part of these Terms. We may update it as the Service evolves; if a change materially tightens a limit you are relying on, we will email you at least 30 days before it applies to you. Reaching a limit pauses new work until it resets or you change plans; it never results in an automatic extra charge. We may queue, throttle, or prioritize processing by plan to keep the Service reliable, and may suspend accounts that exceed or attempt to evade these limits or otherwise abuse the Service.
How long we keep Your Content
We delete Your Content on a schedule rather than keeping it indefinitely. As of these Terms:
- Raw uploads are deleted approximately 14 days after we have finished making your videos from them.
- Finished videos are deleted approximately 90 days after the last time one was posted, so download anything you want to keep for good.
- Rejecting a video deletes it promptly — the video, its thumbnail, and the source footage it was cut from.
The current periods are stated in our Privacy Policy, which governs if the two ever differ. We may shorten these periods at any time. We will not lengthen them for content already uploaded without telling you first. Because deletion is automatic and permanent, keep your own copies of any footage that matters to you — the Service is not a backup or archive, and we are not liable for content deleted on this schedule.
Account deletion
You can permanently delete your account from Settings → Billing. Deletion removes your account data and stored media and cancels any active subscription. If a file deletion cannot complete immediately, it is queued and retried until it does. This is irreversible, and content already published to your social accounts is not affected — you manage that on the platforms themselves.
Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or that it will produce any particular business result.
Limitation of liability
To the maximum extent permitted by law, Postango will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve months before the claim.
Indemnification
You agree to defend, indemnify, and hold harmless Postango LLC, its owners, officers, employees, contractors, and agents from and against any and all claims, demands, actions, investigations, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:
- Your Content — including the footage, photographs, music, logos, and other material you upload, and any claim that it infringes or misappropriates a copyright, trademark, right of publicity, privacy right, or other right of any person;
- your representation that you own or are licensed to use any music or other material you add to the Service commercially;
- content published to your social media accounts through the Service, including captions, claims, offers, or other statements made in or alongside that content;
- your use of the Service in violation of any social media platform's terms, policies, or applicable advertising, endorsement, or consumer-protection rules;
- your violation of these Terms or of any applicable law; and
- your acts or omissions in connection with your business, products, or services.
We will notify you of any claim for which we seek indemnification and may participate in the defense with counsel of our own choosing at our own expense. You may not settle any claim in a way that imposes any obligation or liability on us, or that admits fault on our behalf, without our prior written consent. This section survives termination of these Terms.
Termination
You may stop using the Service and delete your account at any time.
- For cause — immediately.We may suspend or terminate your access without notice if you breach these Terms, don't pay, use the Service unlawfully, or where your continued access is a risk to the Service, to us, or to other users. No refund is due.
- For any other reason — 30 days' notice. We may end your account for any other reason, or for none, by emailing you 30 days before it takes effect. We will refund the unused part of anything you have prepaid, pro rata.
- While we look into something. We may suspend access to investigate suspected breach, abuse, or fraud. If we put you back, the suspended days are credited to your next invoice.
On termination your right to use the Service ends. Your content is handled under Account deletion and How long we keep Your Content above.
Governing law
The Service is operated from the United States and is offered to customers in the United States. We do not target or market it to any other country, and we make no claim that it meets the requirements of any other country's law. If you use it from elsewhere, you do so on your own initiative and you are responsible for complying with your local law.
These Terms are governed by the laws of the State of Michigan, USA, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act as to the arbitration provision below. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Dispute resolution, arbitration, and class action waiver
Read this section carefully — it affects your legal rights, including your right to file a lawsuit in court and to have a jury hear your claims.
1. Talk to us first. Most problems can be sorted out quickly. Before starting an arbitration or lawsuit, you agree to send a written notice describing the dispute and the relief you want to support@postango.ai, and to give us 60 days to resolve it. We'll do the same before bringing a claim against you. This step is a condition of starting a proceeding, and the deadline for any claim is paused while it runs.
2. Binding arbitration.If we can't resolve it, any dispute, claim, or controversy arising out of or relating to these Terms or the Service — whether based in contract, tort, statute, fraud, or any other legal theory — will be resolved by final and binding individual arbitration, administered by the American Arbitration Association (AAA) under its rules then in effect, before a single arbitrator. The arbitrator decides all issues except those reserved to a court below, including the scope and enforceability of this section. Judgment on the award may be entered in any court with jurisdiction.
3. Where and how. The arbitration will be seated in Macomb County, Michigan. Unless the arbitrator directs otherwise, hearings may be held by telephone or video, or decided on written submissions, so that neither of us has to travel. Each party bears its own attorneys' fees except where a statute or the arbitrator's award provides otherwise; administrative and arbitrator fees are allocated under the applicable AAA rules.
4. What is NOT arbitrated. Either of us may (a) bring an individual claim in small claims court if it qualifies, and (b) ask a court for temporary or preliminary injunctive relief to protect intellectual property or stop unauthorized access to the Service, without waiving anything in this section.
5. Class action and jury waiver. ALL CLAIMS MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any form of representative proceeding, and may award relief only to the individual party seeking it. TO THE EXTENT ANY CLAIM PROCEEDS IN COURT RATHER THAN ARBITRATION, BOTH PARTIES WAIVE ANY RIGHT TO A JURY TRIAL. If this paragraph is found unenforceable as to a particular claim, that claim — and only that claim — is severed from the arbitration and proceeds in the courts identified below.
6. Your right to opt out. You may opt out of this arbitration and class waiver section by emailing support@postango.ai with your account email and the words "arbitration opt-out" within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms, and we will not treat it as a reason to close your account.
Venue for claims not subject to arbitration
For any claim that is not subject to arbitration — including claims severed under the paragraph above, requests for injunctive relief, and actions to enforce an arbitration award — both parties consent to exclusive jurisdiction and venue in the state courts located in Macomb County, Michigan, or in the United States District Court for the Eastern District of Michigan, and each party waives any objection based on lack of personal jurisdiction, improper venue, or forum non conveniens.
Survival
The sections covering Your content and rights, How we use Your Content, How long we keep Your Content, AI-generated output, Disclaimers, Limitation of liability, Indemnification, Dispute resolution, Venue, and this Survival section remain in force after these Terms end, however that happens. Our commitments not to train on, sell, or browse Your Content, and to delete it on the stated schedule, apply to content we already hold and do not lapse when your account does.
Changes to these Terms
We may update these Terms. For anything material — your rights, our liability, what you pay — we will email you at least 30days before it takes effect, and you can cancel before then if you don't accept it. For everything else we revise the "last updated" date. Continued use after a change takes effect means you accept it. Changes are not retroactive: a dispute that already existed is decided under the Terms in force when it arose.
